Job Summary The responsibility the Associate UCC Underwriting Counsel includes providing legal and underwriting assistance to the underwriters of our EAGLE 9 UCC insurance policies. The EAGLE 9 UCC insurance policy insures the attachment, perfection and priority of security interests in personal property. The day to day duties of the position includes reviewing all documentation for secured transactions including Pledge and Security Agreements, UCC-1 and UCC-3 financing statements, Deposit Account Control Agreements, Intercreditor Agreements as well business entity documentation such as Operating Agreements, Partnership Agreements, Articles of Incorporation and corporate by laws. Counsel will be expected to work through complex businesslegal issues and provide decisive guidance to non-lawyer underwriters. The ideal candidate will be able to collaborate with non-lawyers and act decisively. They will have strong attention to detail and strong verbal and written communication skills. The candidate will also be well organized, able to multi-task, prioritize tasks and timely follow up. Strong negotiation skills are also valued. Knowledge and Skills/Technology Used Strong understanding of fundamental concepts, practices and procedures of real estate title and settlement process. General knowledge of Federal and State regulations related to real estate title insurance and settlement services. General understanding of underwriting real estate transactions for the issuance of title insurance policies. Ability to collaborate and act decisively. Detail oriented. Excellent listening, verbal and written communication skills. Good organizational skills with the ability to multi-task, prioritize and timely follow up. Strong negotiation skills. Requires abstract thinking and creative solutions. Typical Education Law Degree required Admitted to practice in state of employment. Typical Range of Experience 1-4 years of insurance underwriting experience (property and casualty or title insurance acceptable) 2
years in commercial law related to personal property secured transactions under Article 9 of the Uniform Commercial Code OR corporate due diligence related to securities underwriting or experience preparing and/or reviewing documents such as articles of incorporation, by laws, operating agreements or partnership agreements, and corporate resolutions. Salary Range:
$80K -- $100K
Minimum Qualification
